1.0 Definitions

In the ensuing agreement the following words may appear, and are defined as follows:

"Agriple.com" means the website and where the context so admits also refers to the owners of the website which is AgriCenta AgroServices Limited,

"Business day" means any day other than a Saturday or a Sunday or a Government approved public holiday.

"CAMA" means the Companies and Allied Matters Act, CAP 24 LFN,

"Commission" means the Corporate Affairs Commission

"Consumers" means users of Agriple.com whom are purchasers of the products listed on the site

"Farmers" means the suppliers of the agricultural produce depicted on Agriple.com (see also “Vendors” infra)

"Naira and N" means the lawful currency of the Federal Republic of Nigeria

"The buyer" means the buyer and the said term shall apply whether to companies or individuals acting in the role of buyer(s).

"The seller" means suppliers of the various agricultural goods and the said term shall apply whether to companies or individuals.

"The site" means Agriple.com

"Registered Office" means the registered office of any company under reference in line with the Companies & Allied Matters Act 1990.

"Users" means persons (whether buyers, sellers, etcetera) who visit Agriple.com at any time for the purpose of utilizing the offered services on the site.

"Vendors" means the suppliers of the agricultural produce depicted on Agriple.com (see also “Farmers” supra)

2.0 Recital

WHEREAS Agriple.com is a website owned, managed, operated, (and howsoever else described) by AgriCenta AgroServices Limited, a company duly registered with the Corporate Affairs Commission, Nigeria as a private limited liability company;

And whereas Agriple.com is an agro-tech website that offers a digital link between consumers and suppliers of agricultural produce;

Agriple.com is available for use and access subject to the terms and conditions stated in this document.

3.0 Scope of the Agreement

3.1 These terms of use represent the understanding of the parties that this agreement shall be binding on the parties and shall spell out the duties, obligations, liabilities, benefits, and howsoever else described, of the users of the site as well as of the owners of the site.

3.2 The agreement shall become effective immediately upon clicking the acceptance button by users and both parties shall immediately be bound by the terms.

3.3 The agreement shall remain binding for the entire duration of the use of the site by the user and thereafter it shall continue to remain in force during the lifetime of the users or the continued existence of the site.

3.4 The agreement is effected upon ticking of the box at the end of this agreement and to all intents and purposes serves as an electronic signature.

4.0 License and Assignment

4.1 The Agriple.com website allows users to access and make use of the content provided through the site and this agreement notes that we grant you a non-transferable, revocable and non-exclusive license to use this Site, in accordance with the Terms and Conditions of Use, for such things as: shopping for agricultural produce sold through the site, gathering prior information regarding our products and services and making purchases. Commercial use or use on behalf of any third party is prohibited, provided that such prohibition is exempted in cases where our permission is first had and obtained.

4.2 The use of this site shall not extend to allowing users access Agriple.com servers, backend programs, internal computer systems, infringing on intellectual property, cloning, or howsoever else described which could potentially interfere with the functionality, integrity, and/or security of this site.

4.3 You agree to abide by our Terms of Use and not to use Agriple.com (including but not limited to its content) in any manner not expressly permitted by the Terms;

Provided and it is hereby understood that any such unauthorized and unpermitted use may result in termination of user account and/or legal action including but not limited to criminal prosecution; And it is further understood that a termination of a users’ access to the website does not vitiate nor cease the applicability of the terms of this agreement to that user.
